Agreement to Terms

By downloading, installing, or using the UGUD mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

Description of Service

UGUD ("You Good?") is a privacy-first mental health check-in and journaling application designed to help you track your mood, energy, and daily wellness. The App provides:

• Daily mood and energy tracking
• Text and voice journaling
• Crisis detection and safety resources
• Optional medication adherence tracking
• Data export capabilities
• Optional iCloud backup

Important Disclaimers

Eligibility

You must be:

• At least 17 years old to use the App (age rating)
• Capable of forming a binding contract under applicable law
• Using the App for personal, non-commercial purposes

User Responsibilities

You Agree To:

1. Use the App Responsibly:
   • Provide accurate information to the best of your ability
   • Use the App only for personal wellness tracking
   • Not rely on the App as your sole source of mental health support
2. Seek Professional Help When Needed:
   • Consult qualified mental health professionals for diagnosis and treatment
   • Call emergency services if you are in immediate danger
   • Not delay seeking medical advice based on anything in the App
3. Protect Your Data:
   • Keep your device secure with a passcode/biometric lock
   • Not share your device with others if it contains sensitive data
   • Understand that exported data (CSV/PDF) is unencrypted by default
4. Not Misuse the App:
   • Not attempt to hack, reverse engineer, or compromise the App
   • Not use the App for any illegal purposes
   • Not impersonate others or provide false information to support

You Understand That:

• The App Cannot Prevent Self-Harm: Crisis detection is automated and limited
• Backup is Your Responsibility: Enable iCloud backup if you want data persistence
• Exported Data is Sensitive: Share CSV/PDF exports with trusted parties only
• Local Storage Risks: If you delete the App without backup, your data is lost forever

Subscriptions and Payments

Premium Features

UGUD offers optional premium features via in-app purchase:

• Enhanced medication tracking
• Additional wellness tools
• Future premium features as announced

Subscription Terms

• Payment: Charged through your Apple ID account
• Auto-renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• Cancellation: Cancel anytime in iOS Settings → [Your Name] → Subscriptions
• No Refunds: Payments are non-refundable except as required by law
• Free Features: Core check-in and journaling remain free forever

Pricing

Current subscription pricing is displayed in the App and may change with notice. Price changes will not affect existing subscribers until their next renewal.

Intellectual Property

Our Rights

All content, features, and functionality of the App are owned by UGUD and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the App
• Reverse engineer or decompile the App
• Remove any copyright or proprietary notices
• Use our trademarks without permission

Your Content

You retain all rights to the content you create in the App (journal entries, photos, etc.). By using the App, you grant us no rights to your content. Your data is yours alone.

Open Source

Some components of the App may use open source software. Applicable licenses are available in the App's About section.

Data and Privacy

Your privacy is governed by our Privacy Policy. Key points:

• All data is stored locally on your device by default
• We do not collect, track, or sell your data
• Optional iCloud backup uses Apple's encryption
• You can export and delete your data anytime

Disclaimers and Limitations of Liability

AS-IS Basis

The App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy, reliability, or availability

No Guarantee of Accuracy

We do not guarantee that:

• The App will be error-free or uninterrupted
• Defects will be corrected
• The App is free from viruses or harmful components
• Crisis detection will identify all concerning situations
• Mood insights and patterns are clinically accurate

Limitation of Liability

Indemnification

You agree to indemnify and hold harmless UGUD, its developers, and affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the App
• Your violation of these Terms
• Your violation of any rights of others
• Any content you create in the App

Modifications to the App

We reserve the right to:

• Modify, suspend, or discontinue the App at any time
• Change features, functionality, or pricing with notice
• Require you to update to the latest version
• Remove features that are no longer supported

We will make reasonable efforts to notify you of significant changes.

Modifications to Terms

We may update these Terms from time to time. Changes will be effective when posted in the App with an updated "Last Updated" date. Continued use after changes constitutes acceptance of the new Terms.

For material changes, we will:

• Notify you via the App or email (if provided)
• Require you to accept new Terms before continuing to use the App

Termination

Your Right to Terminate

You may stop using the App at any time by:

• Deleting the App from your device
• Canceling any active subscriptions
• Deleting all data from Settings

Our Right to Terminate

We reserve the right to:

• Suspend or terminate your access if you violate these Terms
• Discontinue the App with reasonable notice
• Remove features or functionality

Upon termination:

• Your license to use the App ends immediately
• Premium features will no longer be accessible
• Local data remains on your device until you delete it

Dispute Resolution

Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles.

Arbitration Agreement

Any disputes arising from these Terms or the App shall be resolved through binding arbitration, except:

• Small claims court actions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and UGUD regarding use of the App.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our consent. We may assign these Terms to any successor or affiliate.

Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control (e.g., natural disasters, acts of government, internet outages).
